    Service: SignSimple at SignSimple.app ("SignSimple," "we," "us," or "our").

    Plain-English Summary

    (Not a substitute for the full terms): Use SignSimple to upload PDFs, place fields, add recipients, and send documents for e-signature. You're responsible for your documents and recipients. We provide the platform (including optional AI features) "as is." We don't give legal advice, and we're not a party to your agreements. Please review the full legal terms below.

    1) Acceptance of Terms

    By creating an account, accessing, or using SignSimple, you agree to these Terms & Conditions and our Privacy Policy. If you do not agree, do not use the Service.

    2) Eligibility

    You must be at least 18 years old (or the age of majority in your jurisdiction) and able to form a binding contract. You represent and warrant that you have the authority to accept these terms on behalf of yourself or your organization.

    3) Account Registration & Security

    • You may register via email/password, Google, or Apple.
    • Keep your credentials confidential and secure. You're responsible for activity under your account.
    • You agree to promptly notify us of any unauthorized use or security breach.

    4) The Service (High-Level)

    SignSimple enables you to:

    • Upload documents (e.g., PDFs),
    • Configure fields (e.g., signature, date, name, company),
    • Add one or more recipients,
    • Send unique, trackable e-signature requests,
    • Collect signed copies and audit data.

    Recipients may sign without creating an account via secure links. We may provide AI-assisted features (e.g., smart field detection, multi-recipient templating). See Sections 8 and 9.

    5) Your Content & Ownership

    Your Documents: You retain all rights to the documents you upload, including any data within them.

    License to Us: You grant us a limited, worldwide, non-exclusive, royalty-free license to host, process, transmit, and display your documents and related data only to provide and improve the Service.

    Confidentiality: We don't sell your documents or use them for advertising. We access content only as needed to operate, secure, and support the Service (e.g., debugging, abuse prevention, legal compliance).

    You're Responsible: You are solely responsible for the legality, accuracy, and appropriateness of your documents and for obtaining any required consents.

    6) E-Signatures; Consent to Electronic Records

    Legal Framework: SignSimple is designed to support e-signing under the U.S. ESIGN Act and UETA. Enforceability can vary by document type and jurisdiction; you are responsible for determining whether an electronic signature is appropriate for your specific use case.

    Electronic Delivery: By using the Service, you and your recipients consent to receive documents, disclosures, and records electronically.

    Audit Trail: We may collect metadata (timestamps, IP, events) to generate an audit trail. You are responsible for retaining copies and verifying they meet your regulatory or contractual needs.

    Not Legal Advice: We do not provide legal advice; consult your attorney for guidance on enforceability.

    7) Multi-Recipient, Templated Sending

    If you enable bulk/AI templating, we will generate unique copies per recipient based on variables you map (e.g., {{name}}, {{company}}). You must ensure:

    • You have the right to contact each recipient;
    • Mapped data is accurate;
    • Documents are appropriate for e-signing.

    8) AI Features & Automation

    How It Works: AI may suggest fields, detect form regions, or personalize documents for multiple recipients.

    Your Review Required: AI output can be incorrect or incomplete. You must review and approve all AI-generated placements or text before sending.

    No Warranties: AI features are experimental and provided "as is," without guarantees of correctness or fitness for a particular purpose.

    9) Acceptable Use

    You agree not to:

    • Violate any law or third-party rights;
    • Upload malicious code or engage in security violations;
    • Harass or spam recipients;
    • Upload content that is unlawful, defamatory, or infringing;
    • Misrepresent identity or authorization;
    • Attempt to bypass security or misuse the Service's APIs or rate limits.

    Regulated Data: SignSimple is not designed for HIPAA-regulated PHI unless we have a separate, signed Business Associate Agreement (BAA). Avoid uploading sensitive data unless legally permitted and necessary.

    10) Third-Party Services

    We may use third parties (e.g., cloud storage, email delivery, analytics). Your use of third-party services is subject to their terms. We are not responsible for those services, but we endeavor to select reputable providers.

    11) Privacy

    Our collection and use of personal data is described in our Privacy Policy. By using the Service, you consent to those practices.

    12) Fees & Plans

    The Service may be offered free or with paid plans in the future. We may change pricing or plan features with notice. Taxes and payment processing fees (if applicable) are your responsibility.

    13) Service Changes & Availability

    We may modify, suspend, or discontinue features at any time, with or without notice, including for maintenance, security, or legal reasons. We aim for high availability but do not guarantee uninterrupted Service.

    14) Intellectual Property; Feedback

    Our IP: The Service, site, software, and branding are owned by us and our licensors. No rights are granted except as expressly set out in these terms.

    Feedback: If you provide ideas or suggestions, you grant us a non-exclusive, perpetual, irrevocable, royalty-free license to use them without restriction.

    15) DMCA / Copyright

    If you believe content on the Service infringes your copyright, send a DMCA notice to legal@SignSimple.app with:

    • Your contact info,
    • Identification of the copyrighted work and the allegedly infringing material,
    • A statement under penalty of perjury that you are authorized to act,
    • Your physical/electronic signature.

    We may remove or disable access to the material and notify the user.

    16) Termination & Suspension

    You may stop using the Service at any time. We may suspend or terminate access immediately if you violate these terms, pose a security risk, or as required by law. Upon termination, your license ends and we may delete your data per our retention policies (we recommend downloading important documents beforehand).

    17) Disclaimers

    The service (including ai features) is provided "as is" and "as available." To the maximum extent permitted by law, we disclaim all warranties, express or implied, including merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the service will be error-free, secure, or uninterrupted, or that results will be accurate or reliable.

    18) Limitation of Liability

    To the maximum extent permitted by law, in no event will we be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for lost profits, lost data, or business interruption, even if advised of the possibility. Our aggregate liability for all claims relating to the service will not exceed the greater of (a) amounts you paid us in the 12 months before the event giving rise to liability or (b) $100.

    Some jurisdictions do not allow certain limitations; in that case, the limits apply to the fullest extent permitted.

    19) Indemnification

    You agree to defend, indemnify, and hold harmless SignSimple and its affiliates, officers, employees, and agents from any claims, damages, liabilities, costs, and expenses (including reasonable attorneys' fees) arising from:

    • (a) your documents, data, or use of the Service;
    • (b) your violation of these terms or applicable law; or
    • (c) any dispute between you and your recipients or other third parties.

    20) Governing Law; Dispute Resolution

    Governing Law: These terms are governed by the laws of the State of California, without regard to its conflict of law principles.

    Arbitration & Class Action Waiver: Any dispute arising out of or relating to these terms or the Service will be resolved by binding arbitration in Los Angeles County, California, administered by the AAA under its rules. You and we waive any right to participate in a class action or class-wide arbitration. You may seek individual relief in small claims court if your claim qualifies.

    Equitable Relief: Either party may seek injunctive or other equitable relief for misuse of IP or breach of confidentiality.

    21) International Use & Export

    You must comply with applicable export control and sanctions laws. You may not use the Service if you are located in, or are a national of, a country under U.S. embargo or if you are on a restricted list.

    22) Electronic Communications

    You consent to receiving electronic communications from us (e.g., emails, in-app notices) related to your account and the Service.

    23) Changes to these Terms

    We may update these terms from time to time. When we do, we'll revise the "Effective Date" above and, if changes are material, provide notice (e.g., email or in-app). Continued use after changes means you accept the updated terms.

    24) Miscellaneous

    • Entire Agreement: These terms and the Privacy Policy are the entire agreement between you and us regarding the Service.
    • Severability: If any provision is unenforceable, the remainder remains in effect.
    • No Waiver: Our failure to enforce any provision is not a waiver.
    • Assignment: You may not assign these terms without our consent; we may assign to an affiliate or in connection with a merger, acquisition, or sale of assets.
    • Headings: Headings are for convenience only.
